Welcome. MyDesk 5.0 is a product and service owned and operated by Astro Arpanet LLC, a Florida limited liability company ("Astro Arpanet," "we," "us," "our," or "MyDesk 5.0"). We provide a personal assistant platform — including separate assistants for public profile, career, team, and collaborators — through our websites and applications (the "Service"). By accessing or using the Service, you agree to these Terms and Conditions.
IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT USE THE SERVICE.
No reliance; zero liability to the extent permitted by law. You use the Service at your own risk. The Service is provided "AS IS" without warranties. Automated replies, crawled content, leads, metrics, and escalations may contain errors, omissions, or outdated information. To the fullest extent permitted by applicable law, Astro Arpanet LLC and MyDesk 5.0 disclaim all liability for the Service, your personal assistants, data processing, storage, display, and any business or personal outcomes — including loss of data, revenue, reputation, opportunities, or relationships. Where liability cannot be fully excluded, our total liability is capped as set forth in Section 11. You agree to the dispute resolution and class-action waiver in Section 16.
1. Accounts and eligibility
You must provide accurate information when creating an account or using the Service. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly if you suspect unauthorized use.
Access is for your authorized organization and users only. You may not share, resell, sublicense, or transfer access without our prior written permission.
2. Acceptable use
You agree to use the Service only for lawful business purposes. You must not interfere with or disrupt the Service, attempt unauthorized access, probe or test vulnerabilities, reverse engineer, decompile, or attempt to discover source code, architecture, or proprietary methods.
You must not use automated tools, scripts, bots, or similar technologies to scrape, harvest, or extract data from the Service without our express written permission. You must not upload malware or harmful code.
3. Your content and data
You may submit information, content, and data to the Service ("Customer Content"), including business information, website URLs, FAQ text, branding, and configuration. You retain ownership of Customer Content, subject to the rights you grant us to host, process, display, copy, transmit, and use it as needed to operate, maintain, secure, analyze, and improve the Service.
You represent and warrant that you have all rights, licenses, consents, and permissions needed for Customer Content and that your submission and use of Customer Content through the Service does not violate applicable law or infringe any third party's intellectual property, privacy, publicity, or other rights.
You are solely responsible for the accuracy, legality, and appropriateness of Customer Content and for all notices, disclosures, and consents required for people who interact with your use of the Service.
Information you provide to your customers. You are solely responsible for maintaining complete, accurate, and up-to-date business information that is shown or communicated to your customers, visitors, or End Users through the Service — including pricing, product and service descriptions, availability, hours, policies, refunds, promotions, disclaimers, and contact details. You must review and update this information regularly and correct errors promptly. MyDesk 5.0 does not verify your business information and is not responsible for reliance on outdated, incomplete, or incorrect information you supply or that is derived from your sources.
Personal assistants and desks. The Service lets you configure multiple personal assistants ("Desks") — for example public profile, career, team, and collaborators — each with its own knowledge base and share link. You train each assistant from text and URLs you provide. You are solely responsible for what each assistant says, what content you load, who receives each link, and whether a Desk is public or invite-only. MyDesk 5.0 does not review or approve your assistant content and is not liable for messages, advice, or information your assistants provide to visitors.
Plan tiers and contact data. The Service is offered in plan tiers (for example Essential and Professional) with different features and pricing shown on the Billing page. Depending on your plan, you may or may not have access to contact tracking features such as Leads, Inbox, dashboard metrics, conversation history, or export tools. We may still process visitor chat and intake data in the background to operate chat, even when those features are not visible on your plan. You are responsible for choosing the plan that meets your needs and for supervising conversations whether or not you use contact-tracking features.
4. Third-party websites, products, services, and external data
The Service may retrieve, store, index, summarize, or display information from websites, pages, documents, CMS feeds, or other sources you designate ("Third-Party Sources"). That information is provided by third parties and is not created, verified, or endorsed by MyDesk 5.0.
You are solely responsible for: (a) ensuring you have the legal right to access, crawl, copy, and use content from Third-Party Sources; (b) complying with the terms, robots directives, and policies of those sources; (c) any claims arising from your selection of URLs or sources; and (d) keeping crawled content accurate and current.
WE DO NOT GUARANTEE THAT CRAWLED, IMPORTED, OR SYNCHRONIZED CONTENT IS ACCURATE, COMPLETE, CURRENT, LAWFUL, OR FREE OF ERRORS. WE ARE NOT LIABLE FOR CONTENT ORIGINATING FROM THIRD-PARTY SOURCES, INCLUDING OUTDATED PRICING, PRODUCT DESCRIPTIONS, POLICIES, OR OTHER BUSINESS INFORMATION DISPLAYED TO YOUR VISITORS THROUGH THE SERVICE.
If a third party asserts a claim relating to crawled or imported content, you agree to handle that claim at your expense and to indemnify Astro Arpanet LLC as described in Section 12.
Third-party products and services. The Service may reference, summarize, link to, or integrate with products, services, software, payment processors, hosting providers, analytics tools, or other offerings from third parties ("Third-Party Products"). Third-Party Products are provided by their respective owners or suppliers, not by MyDesk 5.0. We do not sell, manufacture, distribute, warrant, or endorse Third-Party Products, and we are not a party to any transaction between you, your End Users, and any third-party provider.
YOU ARE SOLELY RESPONSIBLE FOR YOUR OFFERINGS TO YOUR CUSTOMERS, INCLUDING ANY THIRD-PARTY PRODUCTS OR SERVICES YOU MARKET, RECOMMEND, FULFILL, OR SUPPORT. WE ARE NOT LIABLE FOR THIRD-PARTY PRODUCT DEFECTS, DELAYS, UNAVAILABILITY, PRICING, WARRANTIES, RECALLS, SHIPPING, RETURNS, REFUNDS, OR DISPUTES BETWEEN YOU, YOUR CUSTOMERS, OR THIRD-PARTY SUPPLIERS.
5. AI-assisted chat and automated responses
The Service may generate automated or AI-assisted replies to end users based on Customer Content, crawled data, and conversation context ("Automated Responses"). Automated Responses are provided for general informational convenience only.
AUTOMATED RESPONSES MAY BE INCORRECT, INCOMPLETE, MISLEADING, BIASED, OR OUT OF DATE — INCLUDING FACTUAL ERRORS, "HALLUCINATIONS," WRONG PRICING, WRONG AVAILABILITY, AND WRONG STATEMENTS ABOUT YOU OR YOUR BUSINESS. THEY DO NOT CONSTITUTE PROFESSIONAL, LEGAL, MEDICAL, FINANCIAL, TAX, SAFETY, RECRUITING, OR OTHER SPECIALIZED ADVICE. YOU ARE RESPONSIBLE FOR REVIEWING, MONITORING, AND SUPERVISING HOW THE SERVICE IS USED ON YOUR BEHALF, INCLUDING ESCALATIONS AND HUMAN FOLLOW-UP WHEN APPROPRIATE (WHERE YOUR PLAN INCLUDES SUCH FEATURES).
TO THE FULLEST EXTENT PERMITTED BY LAW, ASTRO ARPANET LLC AND MYDESK ASSUME ZERO LIABILITY FOR ANY ERROR, OMISSION, OR HARM ARISING FROM AUTOMATED RESPONSES OR FROM YOUR OR ANY VISITOR'S RELIANCE ON THEM. You agree not to rely on the Service as a sole source of truth for regulated, high-risk, or safety-critical decisions.
6. End users, visitors, and chat interactions
If you enable public or invite-only chat, people who interact with your assistants ("End Users") may submit personal information and messages ("End User Data"), such as name, email, phone number, marketing preferences, page URL, referrer, session identifiers, and chat transcripts. Depending on your subscription tier, you may be able to view, export, or act on this data through Leads, Inbox, metrics, or related dashboard features. If your plan does not include those features, End User Data may still be stored to operate chat but may not be accessible to you through the Service interface.
As between you and MyDesk 5.0, you are the business responsible for End User Data and for determining the purposes and means of processing it in connection with your use of the Service, except where we act as a service provider processing End User Data on your documented instructions to deliver the Service.
You agree to: (a) provide End Users with a clear privacy notice and any required consents before collecting their information; (b) respond to End User privacy requests as required by law; (c) use End User Data only for lawful purposes; and (d) not submit sensitive personal information through the Service unless you have a lawful basis and appropriate safeguards.
MyDesk 5.0 is not responsible for how you configure, publish, or operate chat on your website or channels, nor for disputes between you and your End Users regarding information collected, stored, or communicated through the Service.
Your relationship with your customers. Nothing in the Service creates a relationship between MyDesk 5.0 and your customers. You remain solely responsible for your sales, support, billing, refunds, warranties, and other obligations to your customers, and for ensuring that information presented through the Service matches what you actually offer.
7. Intellectual property
The Service, including software, design, features, documentation, and all related intellectual property, is owned by MyDesk 5.0 or its licensors and is protected by applicable laws. Except for limited rights expressly granted to use the Service, no rights are transferred to you.
You may not copy, modify, distribute, sell, lease, or create derivative works from the Service or any part of it without prior written permission. Our trademarks and branding may not be used without permission.
8. Subscriptions, fees, cancellation, and refunds
Paid features are offered on a per-assistant subscription basis in plan tiers. Current pricing is shown on the Billing page when you are signed in. As of the date these Terms are posted on the Service:
- Essential: US $29 per month for the first personal assistant, plus US $15 per month for each additional assistant slot (up to the maximum stated on Billing). Includes assistant configuration, training, and share links. Does not include Leads, Inbox, or dashboard contact metrics unless you upgrade.
- Professional: US $39 per month for the first personal assistant, plus US $19 per month for each additional assistant slot. Includes everything in Essential plus contact tracking — Leads, Inbox, dashboard metrics, and related tools — subject to feature availability on the Service.
Subscriptions are month to month with no long-term contract unless otherwise stated at purchase. We may add, change, or discontinue plans, prices, trial offers, tier features, or limits from time to time. The Billing page and checkout flow show the terms that apply at the time you subscribe, upgrade, or add a slot.
Assistant slots. Your subscription includes a number of paid "slots." Each slot lets you turn on one personal assistant at a time. Adding a slot increases your monthly fee; turning an assistant off does not reduce fees unless you change or cancel your subscription. You are responsible for matching the number of active assistants to the slots you pay for.
Free trial. Where a free trial is offered (for example, a 14-day trial when you first subscribe to Essential or Professional), you will not be charged subscription fees during the trial period if you cancel before the trial ends. After the trial ends, billing continues at the then-current rate for your chosen plan unless you cancel. Trial availability, eligible tiers, and length may vary and may change over time.
Cancellation. You may cancel your subscription at any time through Manage subscription on the Billing page. Cancellation stops future charges; it does not automatically entitle you to a refund for amounts already paid, except as stated below or where required by law.
Cool-off period. If you change your mind shortly after your first paid charge, you may request a refund within seven (7) calendar days of that first paid charge by contacting us through the Contact us form. We will review eligible requests in good faith. This cool-off period applies to your first paid charge for a given subscription, not to renewal charges or subsequent billing periods.
Refunds and returns. MyDesk 5.0 is a subscription software service, not a sale of physical goods. Except for the cool-off period above, fees are generally non-refundable, including after cancellation, except where required by applicable law or where we expressly agree otherwise in writing. Refund eligibility for charges outside the cool-off period is at our discretion and may depend on your circumstances and these Terms.
Billing questions and disputes. For refund requests, billing disputes, feedback, or if you are not satisfied with the Service, contact us through the Contact us form. For self-service options (plans, payment method, cancellation), use the Billing page in your account.
Payment processing. Billing is handled by Stripe (a third party). We are not responsible for Stripe outages, payment failures, tax calculations, or billing portal errors. You are responsible for keeping your payment method current. Disputed charges must be raised promptly through Contact us or Stripe.
9. Assumption of risk; no professional relationship
You use the Service at your own risk. The Service is a software tool only. Astro Arpanet LLC does not provide legal, medical, financial, tax, insurance, safety, or other professional advice, and no fiduciary, agency, partnership, joint venture, or employment relationship is created between you and Astro Arpanet LLC by your use of the Service.
YOU ARE SOLELY RESPONSIBLE FOR YOUR BUSINESS DECISIONS, CUSTOMER COMMUNICATIONS, COMPLIANCE OBLIGATIONS, AND INTERACTIONS WITH END USERS. WE DO NOT SUPERVISE YOUR USE OF THE SERVICE AND ARE NOT RESPONSIBLE FOR HOW YOU PRESENT, CONFIGURE, OR RELY ON THE SERVICE.
WE MAKE NO PROMISE OR GUARANTEE REGARDING BUSINESS RESULTS, INCLUDING LEAD VOLUME, LEAD QUALITY, CONVERSIONS, REVENUE, CUSTOMER SATISFACTION, RESPONSE TIMES, OR OPERATIONAL SAVINGS. ANY FEEDBACK, ANALYTICS, OR REPORTS ARE PROVIDED FOR CONVENIENCE ONLY AND MAY BE INCOMPLETE OR INACCURATE.
10. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, QUIET ENJOYMENT, OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR MEET YOUR REQUIREMENTS. THE SERVICE MAY CONTAIN BUGS, DOWNTIME, DATA LOSS, SYNC FAILURES, MISCLASSIFIED ESCALATIONS, MISSING LEADS, INACCURATE METRICS, OR BILLING DISCREPANCIES. AUTOMATED OR GENERATED RESPONSES MAY BE INACCURATE, INCOMPLETE, OR OUTDATED. YOU SHOULD NOT RELY ON THE SERVICE FOR LEGAL, MEDICAL, FINANCIAL, SAFETY, HIRING, OR OTHER PROFESSIONAL DECISIONS.
WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY REGARDING: (A) THE ACCURACY OR RELIABILITY OF CRAWLED OR THIRD-PARTY CONTENT; (B) THE QUALITY OR APPROPRIATENESS OF END USER MESSAGES OR INFORMATION SUBMITTED THROUGH CHAT; (C) LEAD QUALIFICATION, CONVERSION, OR BUSINESS OUTCOMES; (D) COMPLIANCE OF YOUR DEPLOYMENT WITH LAWS APPLICABLE TO YOUR INDUSTRY OR JURISDICTION; (E) BUSINESS INFORMATION YOU MAINTAIN FOR YOUR CUSTOMERS; OR (F) THIRD-PARTY PRODUCTS OR SERVICES REFERENCED, LINKED, OR INTEGRATED THROUGH THE SERVICE.
The Service may link to or integrate with third-party services. We are not responsible for third-party websites, services, content, products, or practices. Your use of Third-Party Products is at your own risk and subject to those third parties' terms and policies.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ASTRO ARPANET LLC, MYDESK, AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS SHALL HAVE NO LIABILITY — AND YOU AGREE WE BEAR ZERO LIABILITY WHERE THE LAW ALLOWS — FOR ANY DAMAGES ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, WE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, PERSONAL INJURY, EMOTIONAL DISTRESS, OR BUSINESS INTERRUPTION, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE AND NEGLIGENT MISREPRESENTATION), STRICT LIABILITY, OR OTHERWISE.
WITHOUT LIMITATION, WE ARE NOT LIABLE FOR CLAIMS ARISING FROM: SERVICE ERRORS OR DEFECTS; CUSTOMER CONTENT; THIRD-PARTY SOURCES OR THIRD-PARTY PRODUCTS (INCLUDING STRIPE, CLERK, HOSTING, EMAIL, OR AI/LLM PROVIDERS); INFORMATION YOU MAINTAIN OR PRESENT TO YOUR CUSTOMERS OR CONTACTS; AUTOMATED OR AI-ASSISTED RESPONSES FROM YOUR PERSONAL ASSISTANTS (INCLUDING HALLUCINATIONS, OMISSIONS, OFFENSIVE OUTPUT, OR WRONG FACTS ABOUT YOU); END USER DATA OR CHAT TRANSCRIPTS; LEADS, INBOX ITEMS, METRICS, EXPORTS, OR MISSED NOTIFICATIONS; TIER OR FEATURE LIMITATIONS (INCLUDING DATA YOU CANNOT VIEW ON ESSENTIAL); YOUR RELATIONSHIP WITH END USERS OR YOUR CUSTOMERS; BILLING, SUBSCRIPTION, UPGRADE, OR SLOT COUNT ERRORS; SERVICE INTERRUPTION, DEGRADATION, OR DATA LOSS; SECURITY INCIDENTS NOT CAUSED BY OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; OR YOUR FAILURE TO COMPLY WITH APPLICABLE LAW (INCLUDING PRIVACY, MARKETING, OR CONSUMER PROTECTION LAWS).
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OR EXCLUSIONS; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICE IS TO STOP USING IT AND CANCEL YOUR SUBSCRIPTION.
Release. To the extent permitted by law, you release Astro Arpanet LLC and MyDesk 5.0 from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with disputes between you and End Users, your use of automated responses, or reliance on information from the Service — except where such release is prohibited by law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Astro Arpanet LLC, MyDesk 5.0, and our affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- your use of the Service or your deployment of chat and related features;
- Customer Content, Third-Party Sources, or crawled, imported, or synchronized content;
- business information you maintain for your customers, including pricing, products, services, and policies;
- Third-Party Products or services you offer, recommend, fulfill, or support;
- Automated Responses or other output from your personal assistants;
- configuration of public or invite-only assistant links;
- End User Data, including collection, use, disclosure, retention, or marketing communications;
- leads, inbox items, metrics, exports, or business outcomes connected to your use of the Service;
- plan tier or feature limitations, including data you cannot access on Essential;
- your violation of these Terms and Conditions or applicable law; or
- your violation of any third party's rights, including intellectual property, privacy, publicity, or marketing laws;
- regulatory inquiries, fines, or claims relating to your collection or use of End User Data, your privacy notices, or your deployment of personal assistants; or
- any claim that your Customer Content or assistant output caused harm to an End User or third party.
We may assume exclusive defense and control of any matter subject to indemnification; you agree to cooperate. You will not settle any claim without our prior written consent if it imposes obligations on Astro Arpanet LLC or MyDesk 5.0.
13. Suspension and termination
We may suspend or terminate access at any time for violation of these Terms and Conditions, non-payment, risk to the Service, or other reasons permitted by law. You may stop using the Service at any time.
14. Changes
We may revise these Terms and Conditions at any time. Changes take effect when posted. Continued use of the Service means you accept the updated Terms and Conditions.
15. Force majeure
We are not liable for any delay or failure to perform resulting from events beyond our reasonable control, including internet outages, hosting or cloud provider failures, third-party API or payment processor outages, labor disputes, natural disasters, war, terrorism, civil unrest, or governmental action.
16. Governing law and disputes
These Terms and Conditions are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Except for small-claims matters or requests for injunctive relief to protect intellectual property or unauthorized access, disputes will first be addressed through good-faith negotiation and then binding arbitration to the fullest extent permitted by law.
TO THE FULLEST EXTENT PERMITTED BY LAW, DISPUTES WILL BE BROUGHT ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION, AND ANY RIGHT TO A JURY TRIAL.
17. General
These Terms and Conditions, together with the Privacy Policy, are the entire agreement between you and Astro Arpanet LLC regarding the Service. If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms and Conditions without our prior written consent.
MyDesk 5.0, including its name, branding, and software, is owned by Astro Arpanet LLC. All rights not expressly granted are reserved.
